1. Introduction

This License Agreement ("Agreement") is entered into between Sidub Inc. ("Licensor," "we," "our," or "us") and the individual or entity ("Licensee," "you," or "your") that acquires a license to use the Software. By downloading, installing, or using the Software, you agree to comply with the terms of this Agreement.

2. Definitions

For the purposes of this Agreement:

  • "Software" means Docuoria, the proprietary software provided by Sidub Inc., including the Docuoria engine library and the Docuoria template store host, and any updates, enhancements, or modifications.
  • "Installer Packages" means the Docuoria installer distributed as Docuoria.Cli on NuGet and as @sidub-inc/docuoria.cli on npm, and the files of the Docuoria skill package, excluding the Software assembly they bundle.
  • "PSLA" refers to Sidub Inc.'s Proprietary Software License Agreement.

3. License

3.1. The Software

The Software is licensed under the PSLA. The PSLA provides a non-exclusive, non-transferable right to use the Software under one of the following license types:

  • Free License: Provides a non-exclusive, non-transferable, revocable right to use the Software at no cost for personal or non-commercial purposes. This license allows access to any version of the Software released prior to the license expiration date.
  • Subscription License: Provides a non-exclusive, non-transferable right to use the Software for a specified period. This license allows access to any version of the Software released prior to the subscription's expiration date, with continued Updates available upon renewal.

The full text of the Proprietary Software License Agreement is included in this repository as LICENSE-PROPRIETARY.txt.

3.2. Installer Packages

The Installer Packages are licensed under the MIT License. The Software assembly bundled inside the skill package remains subject to Section 3.1.

4. Additional Terms

By using the Software, you also agree to our Terms of Service and Privacy Policy, which are included in this repository as TERMS.txt and PRIVACY.txt, respectively.

5. Contributor License Agreement (CLA)

We welcome contributions from the community. Before contributing, you must sign our Contributor License Agreement (CLA), granting Sidub Inc. the rights to use, modify, and distribute your contributions under the PSLA and any other license Sidub Inc. offers.

6. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

7. Limitation of Liability and Warranty Disclaimer

To the fullest extent permitted by applicable law:

  • The Software is provided "as is" and "as available," without warranties or conditions of any kind, either express or implied, including but not limited to implied warranties or conditions of merchantability, fitness for a particular purpose, and non-infringement.
  • Sidub Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or use, incurred by you or any third party, whether in an action in contract, tort (including negligence), strict liability, or otherwise, arising from your use of the Software.

9. License Types Availability

The PSLA defines Free, Perpetual, Subscription, and Consumption License types. For the Software, Sidub Inc. offers the Free License and the Subscription License. The Perpetual License and the Consumption License are not offered for the Software. Sidub Inc. reserves the right to change the availability of license types for the Software.
